EULA - End User License Agreement

For the purpose of this license MuzToolz, LLC will be referred as MuzToolz and MuzToolz Music Manager as Software.

NOTICE TO USER: THIS IS A CONTRACT. BY INSTALLING THIS SOFTWARE, YOU ACCEPT THE TERMS AND CONDITIONS OF THIS LICENSE AGREEMENT.

1. Software Ownership. Licensee acknowledges that this is only a limited nonexclusive license. MuzToolz is and remains the owner of all titles, rights, and interests in the Software.

2. Use of the Software. This License permits Licensee to install the Software on more than one computer system, as long as the Software will not be used on more than one computer system simultaneously.

3. Reverse-Engineering. Licensee shall not reverse engineer, decompile, disassemble, or otherwise access the source code of the Software.

4. License Term. This License shall continue for as long as you use the Software, except that it will terminate if you fail to comply with any term or condition of this Agreement. Upon such termination, or in order for you to terminate the Agreement, you agree to destroy the original and any copies of the Software.

5. Disclaimer of Warranty on MuzToolz Software. You expressly acknowledge and agree that use of the MuzToolz Software is at your sole risk. The MuzToolz Software is provided AS IS and without warranty of any kind and MuzToolz and MuzToolzs licensor(s) EXPRESSLY DISCLAIM ALL WARRANTIES AND/OR CONDITIONS, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES AND/OR CONDITIONS OF MERCHANTABILITY OR SATISFACTORY QUALITY AND FITNESS FOR A PARTICULAR PURPOSE AND NONINFRINGEMENT OF THIRD PARTY RIGHTS. MUZTOOLZ DOES NOT WARRANT THAT THE FUNCTIONS CONTAINED IN THE MUZTOOLZ SOFTWARE WILL MEET YOUR REQUIREMENTS, OR THAT THE OPERATION OF THE MUZTOOLZ SOFTWARE WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT DEFECTS IN THE MUZTOOLZ SOFTWARE WILL BE CORRECTED. FURTHERMORE, MUZTOOLZ DOES NOT WARRANT OR MAKE ANY REPRESENTATIONS REGARDING THE USE OR THE RESULTS OF THE USE OF THE MUZTOOLZ SOFTWARE OR RELATED DOCUMENTATION IN TERMS OF THEIR CORRECTNESS, ACCURACY, RELIABILITY, OR OTHERWISE. NO ORAL OR WRITTEN INFORMATION OR ADVICE GIVEN BY MUZTOOLZ OR AN MUZTOOLZ AUTHORIZED REPRESENTATIVE SHALL CREATE A WARRANTY OR IN ANY WAY INCREASE THE SCOPE OF THIS WARRANTY. SHOULD THE MUZTOOLZ SOFTWARE PROVE DEFECTIVE, YOU (AND NOT MUZTOOLZ OR AN MUZTOOLZ AUTHORIZED REPRESENTATIVE) ASSUME THE ENTIRE COST OF ALL NECESSARY SERVICING, REPAIR OR CORRECTION. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO THE ABOVE EXCLUSION MAY NOT APPLY TO YOU. THE TERMS OF THIS DISCLAIMER DO NOT AFFECT OR PREJUDICE THE STATUTORY RIGHTS OF A CONSUMER ACQUIRING MUZTOOLZ PRODUCTS OTHERWISE THAN IN THE COURSE OF A BUSINESS, NEITHER DO THEY LIMIT OR EXCLUDE ANY LIABILITY FOR DEATH OR PERSONAL INJURY CAUSED BY MUZTOOLZS NEGLIGENCE.

6. Limitation of Liability. UNDER NO CIRCUMSTANCES, INCLUDING NEGLIGENCE, SHALL MUZTOOLZ BE LIABLE FOR ANY INCIDENTAL, SPECIAL, INDIRECT OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR RELATING TO THIS LICENSE. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES SO THIS LIMITATION MAY NOT APPLY TO YOU. IN NO EVENT SHALL MUZTOOLZS TOTAL LIABILITY FOR ALL DAMAGES EXCEED ONE HUNDRED PERCENT OF THE AMOUNT YOU PAIED TO MUZTOOLZ.

7. Complete Agreement. This License constitutes the entire agreement between the parties with respect to the use of the MuzToolz Software and supersedes all prior or contemporaneous understandings regarding such subject matter. No amendment to or modification of this License will be binding unless in writing and signed by MuzToolz.
